By order dated 8 December 2020 made pursuant to Section 13 of the
Assurance Companies Act 1909, Section 36 of the Insurance Act 1989
and Regulation 41 of the European Union (Insurance and Reinsurance)
Regulations 2015, the High Court of Ireland sanctioned a scheme of
transfer (the “Scheme”) in connection with the transfer by Omega Life
Designated Activity Company (“Omega”), having its registered office
at 26 Upper Pembroke Street, Dublin 2, Ireland, of the Portfolio of
Insurance (as defined in the Scheme), which includes the Transferring
Assets, the Transferring Contracts, the Transferring Liabilities and the
Transferring Policies (each as defined in the Scheme) to Monument
Assurance Luxembourg S.A., having its registered at 5 Rue Eugene
Ruppert, L-2453, Luxembourg, with a branch in Italy at Sede
secondaria per L’Italia, viale Monza 265 20126 Milano with effect
from 23:59 (CET) on 31 December 2020.
