(In Voluntary Liquidation)
(“the Company”)
Notice is hereby given that pursuant to S193(1) CA2014 (unanimous
written resolution) on 30 November 2020, the following special
resolutions were duly passed:
1) “That the Company be wound up voluntarily;”
2) “That John Healy of Kirby Healy Chartered Accountants, 3
Fitzwilliam Court, Upper Pembroke Street, Dublin 2 be and
is hereby appointed Liquidator for the purposes of winding up
the Company;”
3) “That the Liquidator be and is hereby authorised to divide
among the members in specie or kind the whole or any part
of the assets of the Company (whether they shall consist of
property of the same kind or not) and for such purpose to set
such value as he deems fair upon any proper1y to be divided
as aforesaid and to determine how such division should be
carried out between the members.”
4) “That firstly the terms of the Liquidator’s entitlement to
remuneration as outlined in the Letter of Engagement
dated 21st June 2019 from the Liquidator (the “Letter of
Engagement”) and secondly his remuneration in accordance
with the Letter of Engagement be and hereby approved.”
