On the 6 October 2020 and pursuant to Section 196(4) (Sole Member
Resolution) the following resolutions were passed;
1. That the Company be voluntarily wound up by way of a
Members’ Voluntary Liquidation;
2. That Mr. Stephen Scott of Smith & Williamson, Paramount
Court, Corrig Road, Sandyford Business Park, Dublin 18 (the
“Liquidator”) be appointed as Liquidator for the purposes of
3. That the Liquidator be and is hereby authorised, in accordance
with the memorandum and articles of association of the
Company, to distribute the whole or any part of the assets of
the Company amongst the members in specie; and
4. That the terms and the amount of the Liquidator’s remuneration
as set out in a letter dated 15 June 2020 be approved.
