IN THE MATTER OF
PASSFIELD HOLDINGS LIMITED
(In Members’ Voluntary Liquidation)
AND IN THE MATTER OF
THE COMPANIES ACT 2014
JPH CAPITAL LIMITED (“The Company”) hereby gives notice, that
pursuant to Section 196(4) of the Companies Act 2014, the following
resolutions were passed on the 20th day of July 2020;
Special Resolution:
“That the Company be wound up voluntarily as a members’
voluntary liquidation;”
“That the Liquidator be and is hereby authorised to divide among
the members in specie or kind the whole or any part of the assets
of the Company (whether they shall consist of property of the same
kind or not) and for such purpose to set such value as he deems fair
upon any property to be divided as aforesaid and to determine how
such division should be carried out as between members and to
make such interim distribution to the members as he sees fit;”
Ordinary Resolution:
“That Bryan O’Neill, of 54 Mulgrave Street, Dun Laoghaire,
Co. Dublin be appointed as liquidator (the “Liquidator”) for the
purposes of winding up the Company.”
“IT IS FURTHER RESOLVED that the signed letter of engagement
between Bryan O’Neill, of 54 Mulgrave Street, Dun Laoghaire,
Co. Dublin and the Board of Directors which sets out the terms of
the liquidation of the Company and the basis of the Liquidator’s
remuneration be and is hereby approved.”
