IN THE MATTER OF
ROCTATE LIMITED
(In Voluntary Liquidation)
(the “Company”)
AND IN THE MATTER OF
THE COMPANIES ACT 2014
By written decision of the sole member of the Company dated the 26th
day of June 2020 passed pursuant to section 196(4) of the Companies
Act 2014, the following special resolutions were passed:
1. “That the Company be, and is, wound up voluntarily as a
members’ voluntary winding-up;
2. “That Aengus Burns of Grant Thornton, Ground Floor,
Merchant’s Square, Merchant’s Road, Galway, H91 ETN2 be,
and is hereby, appointed liquidator for the purpose of winding
up the Company”;
3. “That the said liquidator be, and is hereby, authorised to
distribute all or part of the surplus assets of the Company in
specie or in kind to the sole member as he may think fit having
obtained the prior consent of the sole member”; and
4. “That the terms of the liquidator’s entitlement to remuneration
as outlined in the letter of engagement dated 12 June 2020
from the liquidator to the Company, and the fees and outlay
set out in the said letter of engagement be and are hereby
approved”.
