Notice is hereby given that on 19th May 2020 by Unanimous Written
Resolution of the sole member of the Company pursuant to Section
193 of the Companies Act 2014 and the Constitution of the Company
the following Resolution was duly passed as a Special Resolution:
1. “THAT, pursuant to section 202 (1)(a)(i) of the Companies
Act 2014 and as referred to in the declaration of the directors
of the Company (which is attached to and forms part of this
written resolution) made in compliance with section 207 of
the Companies Act 2014, the entering into of the summary
approval procedure be and is hereby approved.
2. THAT the Company be wound up voluntarily pursuant to
s.579 of the Companies Act 2014 using the procedure set out
in sections 202, 207 and 208 of the Companies Act 2014;
3. THAT Kieron Hayes, having consented to act, be and is hereby
appointed as Liquidator (the “Liquidator”) for the purposes of
such winding up;
4. THAT the Liquidator be and is hereby authorised to distribute
all or part of the surplus assets of the Company in specie or
otherwise to the member as he may think fit.”

Creditors have been or will be paid in full.
Creditors of the above named Company are required on or
before 30th June 2020 to send their names and addresses and
particulars of their debts or claims to the liquidator and that
they should, if so required by notice from the Liquidator,
come in and prove their said debts or claims at such time
and place as shall be specified in any such notice or in
default thereof, they may be excluded from the benefit of any
distribution made before such debts are proved.
