IN THE MATTER OF
CARLYLE EURO CLO 2017-2 WH FUNDING DAC
(In Voluntary Liquidation)
AND IN THE MATTER OF
THE COMPANIES ACT 2014
On the 20 December 2019 and pursuant to Section 196(4) (Sole
Member Resolution) the following resolutions were passed;
1. THAT the Company be wound up as a Members’ Voluntary
Winding Up
2. THAT Stephen Scott of Smith & Williamson, Paramount
Court, Corrig Road, Sandyford Business Park, Dublin 18,
be appointed Liquidator of the Company for the purposes of
such winding up;
3. THAT the Liquidator be and is hereby authorised in
accordance with the Constitution of the Company to distribute
to the Members of the Company in specie, the whole or any
part of the assets of the Company;
4. THAT in accordance with Section 646(2)(c) of the Companies
Act, the remuneration of the Liquidator as previously agreed
with the Directors of the Company be approved.
