On the 27 November 2018 and pursuant to Section 196(4) (Sole
member resolution) the following resolutions were passed;
1. That the Company be wound up as a Member’s Voluntary
2. That Liam Dowdall of Smith & Williamson be appointed as
liquidator for the purpose of winding up the Company.
3. That the liquidator be and is hereby authorized to divide
among the members in specie or kind the whole or any part
of the assets of the Company (whether they shall consist of
property of the same kind or not) and for such purpose to set
such value as he deems fair upon any property to be divided
as aforesaid and to determine how such division should be
carried out as between the members and to make such interim
distribution to the members as he see fit.
