IN THE MATTER OF
CAIRN SPT LOANS DAC
(In Voluntary Liquidation)
AND IN THE MATTER OF
THE COMPANIES ACT 2014
By way of Special Resolutions of the Member of the said company,
the following Special Resolutions were duly passed on 28 June 2018:
1. ‘That the company be wound up as a members’ voluntary
winding up pursuant to ss.579, 201 and 208 of the Companies
Act 2014 (the “Liquidation”)’
2. ‘That Declan Taite from Duff & Phelps, of Molyneux House,
Bride Street, Dublin D08 C8CN, having consented to ask
as liquidator pursuant to a letter dated 27 June 2018, be
appointed as liquidator for the purposes of such winding up
(the “Liquidator”)’;
3. ‘That the Liquidator’s fee for the completion of the Liquidation
be agreed in accordance with the Letter of Engagement dated
27 June, 2018’;
4. ‘That said Liquidator be authorised to distribute all or part of
the surplus assets of the company in specie or otherwise to the
members as he may think fit; and’;
5. ‘That, notwithstanding the appointment of the Liquidator,
pursuant to section 677(3)(b) of the Companies Act 2014 (as
amended) there shall be sanctioned to Paul Sullivan and John
Broughan, (or either of them), as two of the directors of the
Company, the continuance of powers required to submit all
corporate tax returns of the Company and sign all relevant
documentation in respect thereto together with the power
to do all or any ancillary things which may be required of
the Company in respect of any liability or obligations of the
Company to the Revenue Commissioners.’
Notice is hereby given that all creditors of the above-named Company
should send details of any outstanding claims to the Liquidator, Declan
Taite of Duff & Phelps (Ireland) Limited, 24 St. Stephen’s Green,
Dublin 2 to be received no later than 9 August 2018.
