IN THE MATTER OF
MORGANITE INVESTMENTS LIMITED
(In Voluntary Liquidation)
AND IN THE MATTER OF
THE COMPANIES ACTS 2014
On the 6 April 2018, pursuant to section 196(4) of the Companies
Act 2014 (the “Act”) and by sole member resolution the following
resolutions were passed;
1. as special resolutions:
(a) That, as contemplated by the declaration by the directors
of the Company dated 26 March 2018 made under section
207 of the Act, the Company be wound up by way of
members’ voluntary winding up in accordance with section
579 of the Act; and
as ordinary resolutions:
(a) That Steve Adshead and Greg Palfrey of Smith &
Williamson be and are hereby appointed joint liquidators
(the “Joint Liquidators”) for the purpose of winding up the
Company; and
(b) That firstly the terms of the Joint Liquidators’ entitlement
to remuneration as outlined in the Letter of Engagement
dated 25 January 2018 from Stephen Scott of Smith &
Williamson to the Company (the “Letter of Engagement”)
and secondly their remuneration in accordance with the
Letter of Engagement (as amended) be and are hereby
approved.
