Notice is hereby given pursuant to Section 202 of the Companies Act
2014 that the following Resolutions were passed on 23 October 2017:
Special Resolutions:
1. “THAT the company be wound up as a members’ voluntary
liquidation.”
2. “THAT Luke Charleton and Colin Farquharson of Ernst &
Young, Harcourt Centre, Harcourt Street, Dublin 2, Ireland be
and are hereby appointed Joint Liquidators for the purposes
of the winding up.”
3. “THAT the Joint Liquidators be authorised to divide all or
such part of the assets of the company in specie as they think
fit amongst its members according to their rights or otherwise
as provided by its memorandum and articles.”
Ordinary Resolutions:
1. “THAT any act required or authorised to be done by the Joint
Liquidators may be done by them jointly or by either of them
acting alone.”
2. “THAT the remuneration of the Joint Liquidators be on
the basis of time properly given by them and their staff in
attending to matters arising during the winding up of the
company plus disbursements and VAT.”
