IN THE MATTER OF

SERVICEMAGIC IP IRELAND LIMITED
(In Voluntary Liquidation)
Special resolution in writing of the Sole Member passed pursuant to
pursuant to Section 196(4) of the above Act on 29th September 2017:
“THAT the Company be wound up voluntarily as a members’
voluntary winding Up and that David Van Dessel, Deloitte, Deloitte
& Touche House, 29 Earlsfort Terrace, Dublin 2, D02 AY28,
Ireland, be and is hereby appointed as liquidator of the company
(“the Liquidator”) for the purpose of such winding up and that
the Liquidator be and is hereby authorised in accordance with the
Company’s Constitution to distribute to the sole member the whole
or any part of the assets of the Company in specie and that the
directors be and are hereby authorised to take all such actions as
they see fit to give effect to this decision and that the Liquidator’s
fees plus VAT and outlay as agreed with him are hereby approved.”
All claims against the Company should be sent to David Van Dessel
no later than 30th November 2017.
