Pursuant to Section 196(4) of the Companies Act 2014 the following
Special Resolution were passed in writing on Monday 12 June 2017:
“THAT the Company be wound up by way of a Members
Voluntary Liquidation and that Derek Earl of Somers Murphy &
Earl Corporate Services Limited, 46 Upper Mount Street, Dublin 2
be appointed Liquidator” and
“THAT the said Liquidator be authorised in accordance with the
Memorandum and Articles of Association of the Company to
distribute all or part of the surplus assets of the Company in specie
or otherwise to the member as he may think fit”
