McGRATH COMPANY SEALS LIMITED
SPECIAL RESOLUTIONS PASSED
1. That the Company be voluntarily wound up as an Members
Voluntary Liquidation;
2. That Neil Hughes and Dessie Morrow of Baker Tilly Hughes
Blake, Joyce House, 22/23 Holles Street, Dublin 2 be
appointed Joint Liquidators for the purposes of such winding
up;
3. That the Joint Liquidators be authorised to discharge their
fees and outlay as stated in the letter of engagement dated 13
August 2015 to the Director of the Company; and
4. That the Joint Liquidators are hereby authorised, in accordance
with the Memorandum and Articles of Association of the
Company, to distribute the whole or any part of the assets of
the Company amongst the Members in specie;
5. That, notwithstanding the appointment of the Joint
Liquidators, the directors shall have delegated to them the
power to approve any termination accounts of the Company.
6. That, notwithstanding the appointment of the Joint Liquidators,
the directors shall have delegated to them the power to approve
any payment of applicable taxes by the Company together
with any ancillary things which are required of the directors of
the Company by the Irish Revenue Commissioners in respect
of the payment of such taxes.
