(In Voluntary Liquidation)

By written resolution of the sole member of the above named company
dated 22 March 2021 the following special resolutions were duly
passed:
“THAT the Company be wound-up voluntarily by way of a
Members’ Voluntary Liquidation”.
“THAT Jim Hamilton of BDO be and is hereby appointed liquidator
for the purpose of winding up the Company”.
“THAT the Liquidator be and is hereby authorised to distribute (by
interim distribution or otherwise) to the sole member in specie or
kind the whole or any part of the assets of the Company (whether
they shall consist of property of the same kind or not) and for such
purpose to set such value as he deems fair upon any property to be
divided as aforesaid”.
“THAT the liquidator’s fees plus VAT and outlay as agreed with
him are hereby approved.”
